If you are using Vantis on behalf of an organisation, you confirm that you are authorised to use the service on its behalf.
1. Our services
Vantis is a business operating platform that provides tools for marketing analytics, customer relationship management, sales pipeline management, reporting, tasks and workflow automation.
Available functionality may vary according to customer configuration, connected integrations and the services agreed with each customer.
We may develop, improve or modify features as the platform evolves.

- Ensuring information you provide is accurate.
- Promptly reporting suspected unauthorised access.
- Complying with the access permissions assigned to you.
Customers are responsible for managing the users and roles authorised within their workspaces.
We may restrict access where reasonably necessary to protect the platform, users or other customers, or to address breaches of these Terms.

You agree to use Vantis lawfully and responsibly.
You must not:
- Access or attempt to access another customer's workspace without authorisation.
- Interfere with the operation or security of the platform.
- Upload malicious software or harmful code.
- Attempt to bypass authentication or access controls.
- Use the platform to engage in fraud, unlawful marketing or other illegal activities.
- Upload or process information without the necessary rights or permissions.
- Conduct unauthorised security testing or attempt to exploit vulnerabilities.
- Use the service in a manner that materially disrupts other customers.
We may investigate suspected misuse and take proportionate action where necessary.
4. Customer data and ownership
You retain ownership of the business information and content you submit to Vantis.
You grant us the limited permission necessary to host, process, transmit, display and back up that information for the purpose of providing and supporting the service.
You are responsible for ensuring that your information is collected, used and shared in accordance with applicable laws.
We do not acquire ownership of your customer records, leads, sales information or other business content simply because it is stored within Vantis.
Our handling of personal information is described in our Privacy Policy.
5. Third-party integrations
Vantis may connect with third-party services, including Google Ads, Meta Ads and supported workflow platforms.
These integrations may be subject to separate terms, permissions and availability requirements.
You are responsible for maintaining any third-party accounts and permissions required for your chosen integrations.
We are not responsible for changes, outages, restrictions or inaccuracies originating from third-party services, except to the extent required by law or otherwise agreed.
Some integrations may require additional configuration or services.
6. Data and reporting accuracy
Vantis provides reporting and business information based on available data, customer inputs and connected integrations.
Results may be affected by:
- Delays in data synchronisation.
- Incomplete or incorrect customer information.
- Third-party platform reporting methods.

Nothing in this section excludes rights or remedies that cannot lawfully be excluded.
7. Subscription fees and commercial agreements
Fees, billing arrangements, subscription terms, service inclusions and cancellation conditions will be set out in the applicable customer agreement, order form or accepted commercial proposal.
Where a separate written agreement applies, that agreement takes precedence to the extent of any inconsistency with these Terms.
Any additional services or charges must be agreed through the applicable commercial arrangement.
Nothing in these Terms limits non-excludable statutory rights.
8. Service availability and maintenance
We aim to provide a reliable and secure platform.
However, availability may be affected by scheduled maintenance, infrastructure issues, third-party outages or circumstances outside our reasonable control.
We may perform maintenance and release updates to improve performance, functionality and security.
Where practical, we will provide advance notice of material planned disruptions.
Any specific uptime or service-level commitments will be governed by the relevant customer agreement.
9. Intellectual property
Vantis and its associated software, branding, design, documentation and platform technology remain the property of Vantis or its licensors.
Subject to these Terms and any applicable customer agreement, we grant authorised users a limited, non-exclusive right to access and use the platform for legitimate business purposes.
This right does not transfer ownership of the underlying software or intellectual property.
You must not reproduce, distribute or commercially exploit the platform except as permitted by law or expressly authorised by us.
10. Confidentiality
Each party must take reasonable care to protect confidential information received from the other party.
Confidential information must not be disclosed to unauthorised parties except where required to deliver the service, authorised by the relevant party or permitted or required by law.
Confidentiality obligations do not apply to information that is lawfully public, independently developed or received from a source entitled to disclose it.
Any additional confidentiality obligations in a customer agreement continue to apply.
11. Privacy and security
We handle personal information in accordance with our Privacy Policy and applicable legal obligations.
We use technical and organisational measures designed to protect customer information.
Customers remain responsible for managing their authorised users, access permissions and lawful use of the information they provide.
If a security incident affects customer information, we will respond in accordance with our legal obligations and applicable contractual commitments.
12. Features in development
Vantis may introduce new features, integrations and capabilities over time.
Certain functionality, including AI Copilot, may be described as planned or under development.
Such features are not included in the available service unless expressly released and made available under the applicable customer arrangement.

Access may be suspended or terminated in accordance with the applicable customer agreement or where reasonably necessary to address:
- Serious breaches of these Terms.
- Unauthorised activity.
- Security threats.
- Unlawful use.
- Other circumstances permitted by law or the relevant agreement.
Where appropriate and reasonably practicable, we will provide notice and an opportunity to address the issue.
The handling, export and deletion of customer information following termination will be governed by the applicable agreement, our Privacy Policy and legal retention requirements.
14. Warranties and liability
Nothing in these Terms excludes, restricts or modifies any rights, guarantees or remedies that cannot lawfully be excluded, including applicable protections under the Australian Consumer Law.
To the extent permitted by law, the platform is provided subject to the service descriptions, limitations and commitments expressly set out in the applicable customer agreement.
Any agreed limitations of liability, exclusions or remedies are governed by that agreement and must be interpreted subject to applicable law.
We do not exclude liability where doing so would be unlawful.
[Any additional liability caps, indemnities or contractual exclusions must be finalised through legal review before use in a binding customer agreement]
15. Changes to these Terms
We may update these Terms to reflect changes in our services, operations or legal obligations.
The latest version will be published on our website.
